TERMS AND CONDITIONS OF SALE The following Terms and Conditions of Sale apply to all product purchases from Zyoxx Way, Inc. America, Inc. ("Zyoxx Way, Inc.") through use of its website Zyoxx Way, Inc.wheels.com (the "Website").

ORDERING

All orders shall be placed by completing and sending the electronic purchase order contained on the Website or by printing the purchase order and faxing or mailing it to Zyoxx Way, Inc. at our address located on the contact page. By placing an order, you agree to be bound by these Terms and Conditions of Sale. Due to the custom nature of many high performance systems, actual shipping times vary from the posted lead times. Should you have an order that must be shipped prior to our estimated lead-time, contact Zyoxx Way, Inc. customer service department for assistance. We make no guarantee, nor have any obligation, to ship any Parts pursuant to any estimated production lead time.

FREIGHT AND RETURN POLICY

All Parts are shipped F.O.B. Zyoxx Way, Inc., Santa Fe Springs, California through our approved carriers. Purchasers are responsible for all freight charges, including on all Parts returned to us because of damaged shipments, nonconforming goods or refused or missed deliveries. Claims for damaged shipments, shortages or nonconforming goods must be made within five (5) days after receipt of the Parts. Purchaser should contact the carrier directly with notification of the claim and the claim number should be provided to the Zyoxx Way, Inc. customer service department. Zyoxx Way, Inc. is not responsible for any losses or damages resulting from damaged or lost shipments or refused or missed deliveries.

BACKORDERS

Zyoxx Way, Inc. will attempt to ship complete orders. However, should a Part not be available for shipment and Zyoxx Way, Inc. cannot estimate the production lead time, the Part will be placed on backorder and the order shipped in part unless the purchaser specifies at the time of the order that the order must be complete when shipped. All backorders are the sole responsibility of purchaser to cancel. Backordered Parts will be shipped when available.

BY PURCHASING PARTS, PURCHASERS EXPRESSLY ACKNOWLEDGE, UNDERSTAND AND AGREE THAT THEY TAKE, SELECT AND PURCHASE ANY PART FROM Zyoxx Way, Inc. "AS IS" AND "WITH ALL FAULTS." THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF ANY PART IS WITH THE PURCHASERS. SHOULD THE PARTS PROVE DEFECTIVE FOLLOWING PURCHASE, PURCHASERS ASSUME THE ENTIRE COST FOR ALL NECESSARY SERVICING, REPAIR, REPLACEMENT OR ANY RESULTING LIABILITY. Zyoxx Way, INC. MAKES NO WARRANTIES WHATSOEVER, EXPRESS OR IMPLIED, ORAL OR WRITTEN, TO PURCHASERS OR ANY USERS OF THESE PARTS. Zyoxx Way, Inc. EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, INCLUDING FITNESS OF ANY PARTS FOR RACING. Purchasers expressly affirm that they are relying upon their own skill and judgment in selecting and purchasing Parts as suitable for purchasers' intended use. Purchasers understand and agree that no officer, director, employee, salesman, reseller, distributor or agent of Zyoxx Way, Inc. has any authority to make any statement contrary to the terms of this disclaimer. On the contrary, Zyoxx Way, Inc. disavows any statements contrary to what is written above. In the event that any persons expressly or impliedly make representations or statements contrary to this disclaimer of all warranties, express or implied, then such persons shall indemnify, defend and hold harmless Zyoxx Way, Inc. in the event of any claim, liability, demand, legal action or proceeding against, or cost or expense incurred by, Zyoxx Way, Inc. or its affiliates as a result thereof.

ZYOXX WHEELS LIMITED WARRANTY

Zyoxx Wheels warrants its custom wheels to its original purchasers only that those wheels sold by Zyoxx Wheels when properly installed and used under normal conditions shall be free from defects in workmanship and material. Upon claim to Zyoxx Wheels, this warranty applies as follows: Zyoxx Wheels warrants its wheels to be structurally sound for their lifetime. Zyoxx Wheels warrants the chrome for 2 years. Zyoxx Wheels obligation under this warranty is limited to repair or replacement, at Zyoxx Wheels option, without charge, excluding freight if product is found to be defective.

This warranty does not apply to the following:

1. Wheels that have been damaged by accident, misuse or negligence, or that have been repaired or altered./LI>
2. Wheels damaged due to adverse weather conditions and road chemicals.
3. Wheels that have not been installed or cared for properly
4. Wheels that have been installed with tires that exceed the recommended size or used with excessive vehicle loads.
5. Wheels that have been installed with other than Zyoxx Wheels approved accessories.
6. Wheels used off-road or for racing.

This warranty is valid only when product is returned with pre-approved to an authorized dealer, freight prepaid, together with original sales slip for proof of purchase.

Note: All wheels should be carefully inspected for proper fit on the vehicle prior to mounting

TRADEMARKS

Zyoxx Way, Inc. shall permit each purchaser to use the name "Zyoxx Way, Inc." or "Zyoxx Wheels." and its trademark and logo (collectively, the "Zyoxx Way, Inc. Marks") only insofar as they appear on the Parts, packaging materials, brochures and other promotional materials supplied by Zyoxx Way, Inc. Purchasers may not use the Zyoxx Way, Inc. Marks for any other purpose, including in advertisements or promotional materials not created by Zyoxx Way, Inc., without the prior written consent of Zyoxx Way, Inc.. Without limiting the generality of the foregoing, Purchasers agree they will not (a) register or attempt to register any of the Zyoxx Way, Inc. Marks ;" (b) contest the validity of any of the Zyoxx Way, Inc. Marks; (c) alter, modify or change the Zyoxx Way, Inc. Marks in any way; or (d) use the Zyoxx Way, Inc. Marks in any manner that is disparaging or harmful, that dilutes the Zyoxx Way, Inc., or that otherwise portrays Zyoxx Way, Inc. in an negative light.
